Terms of Service
The agreement between your organisation and PB Tech for using Licence Intelligence.
Version 2026-11-03
1. About these terms
These terms are between PB Technologies Ltd of 4 Rothwell Avenue, Rosedale, Auckland 0632, New Zealand (PB Tech) and the organisation that creates an account (you, the customer). The person who creates the organisation confirms they are authorised to bind it. By creating an organisation or using the service you accept these terms and the Privacy Policy. If you need a signed agreement with different terms, contact us about the Enterprise plan.
2. The service
PB Tech Licence Intelligence connects, read-only, to the Microsoft 365 tenants you choose and shows how your Microsoft licences are used, what may be saved, when subscriptions renew, and what you spend. It does not change your tenant or your licences. We may improve, add to or change the service, and will give notice of any change that materially reduces what a paid plan includes.
3. Your account and responsibilities
- You must sign in with a Microsoft work or school account and keep your sign-in secure. You are responsible for what people in your organisation do in the service, and for choosing their roles.
- You confirm you are entitled to connect each tenant you connect, and that an administrator of that tenant has approved it. You are responsible for telling your people, where the law requires, that licence and sign-in information about them is processed.
- You must not misuse the service: no probing or attacking it, reselling it, overloading it, or using it to break the law or others' rights.
- Keep your billing and contact details current.
4. Plans, trial and prices
The Free plan is free. Every organisation gets one 14 day trial of the Pro plan, starting when its first tenant is first read successfully, and one trial per tenant. When the trial ends the organisation returns to Free unless it subscribes. Pro is NZD 1 per licensed user per month, with a monthly minimum of NZD 49, excluding GST (Australian organisations: AUD, the same numbers). A licensed user is a person who holds at least one paid Microsoft licence. Annual billing charges 10 months for 12, in advance. Customers who buy Microsoft licences through PB Tech as a Cloud Solution Provider pay 50% of those prices while they remain such a customer. Enterprise prices are agreed in writing. We may change prices on 30 days notice, effective at your next billing period.
5. Invoicing and payment
We invoice by email against a purchase order where you provide one. GST is added to New Zealand invoices at the current rate. Invoices are due on the 20th of the month after the invoice date, unless the invoice says otherwise. If an invoice is overdue we may, after notice, suspend your organisation to the Free plan until it is paid. Fees already paid are not refunded, except where we say otherwise or the law requires.
6. Cancelling
An owner can cancel at any time. Cancellation takes effect at the end of the current billing period and you return to the Free plan, with your data kept as described below. An owner can also close the organisation, which deletes its data after 30 days.
7. Your data
You keep all rights in the information we read from your tenants and the information you give us. You give us the permission we need to process it to provide the service. We process the personal information in it on your behalf under the data processing agreement. We keep and delete data as set out on the Security page: 30 days after a disconnection or closure, invoices for 7 years, Ask conversations for 30 days. You can download your data at any time.
8. Ask and estimates
The Ask feature uses a language model and can be wrong. The savings, values and renewal dates shown are estimates from the information Microsoft returns and the prices on the service, and are not advice or a guarantee that a given licence can be removed or what Microsoft will charge. You are responsible for checking before you change a licence or a purchase.
9. Our intellectual property
The service, its software, design and content belong to PB Tech or its licensors. We give you a limited, non-exclusive right to use the service for your internal business purposes while these terms apply.
10. Confidentiality
Each of us must keep the other's non-public information confidential, use it only for these terms and protect it with reasonable care, except where the law requires disclosure.
11. Availability and support
We aim to keep the service available but do not promise it will be uninterrupted or error-free. Microsoft's services can be unavailable or change, which may delay or alter what we show. Support is by email at licensing@pbtech.co.nz in New Zealand business hours.
12. Warranties and liability
The service is provided as it is. To the extent the law allows, we exclude all warranties and conditions not expressly stated here. If you are acquiring the service for business purposes, the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 (sections 9, 12A and 13) do not apply, as you agree it is fair and reasonable to contract out of them. For Australian customers, nothing here excludes a right under the Australian Consumer Law that cannot be excluded.
To the extent the law allows, our total liability to you in connection with the service is limited to the fees you paid in the 12 months before the event that gave rise to the claim, and we are not liable for loss of profit, revenue or data, or indirect or consequential loss.
13. Suspension and ending
We may suspend or end your access if you materially breach these terms and do not fix it within 14 days of notice, if you do not pay, or immediately if needed to protect the service or others. You may end this agreement by closing your organisation. Sections that by their nature continue (including 7, 8, 10, 12 and 15) survive.
14. Changes to these terms
We may update these terms. We will email owners of organisations at least 30 days before a material change takes effect. If you do not agree you can close your organisation before then. Using the service after that is acceptance.
15. General
These terms and the documents they refer to are the whole agreement between us about the service. New Zealand law governs them and the New Zealand courts have non-exclusive jurisdiction. Neither of us may assign our rights without the other's consent, which is not to be unreasonably withheld, except that PB Tech may assign to a related company. If part of these terms is unenforceable the rest continues. Notices to you go to your owners' email addresses; notices to us go to licensing@pbtech.co.nz.
